Terms of Service
1. Who we are and what these terms cover
GPTLegal (the “Service”), available at gptlegal.org, is operated by Smartledger Blockchain Solutions Inc (“Smartledger,” “we,” “us”). These Terms of Service (“Terms”) are a binding agreement between you and Smartledger. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.
2. Legal information, not legal advice
This is the most important part of these Terms, so please read it carefully.
- We are not a law firm and do not practice law. Smartledger and GPTLegal are not lawyers and cannot give you legal advice, represent you, or appear for you in any matter.
- No attorney-client relationship. Using the Service, including uploading documents or asking questions, does not create an attorney-client relationship or any duty of confidentiality that a lawyer would owe you, and using it does not itself create attorney-client privilege. Your inputs are processed by third-party providers (see our Privacy Policy), so sharing privileged or confidential material with the Service may affect protections that material already has. If you have a lawyer, ask them before uploading privileged documents.
- General information only. Summaries, explanations, red flags, suggested questions, draft letters, generated documents, and research results are intended as general legal information to help you understand documents and prepare to make your own decisions. They are not a substitute for advice from a lawyer licensed in your jurisdiction who knows the facts of your situation.
- Deadlines are your responsibility. Legal deadlines can be short and missing them can have serious consequences. Don’t rely on the Service to identify or calculate every deadline. If a document involves a court case, eviction, debt collection, immigration, criminal matter, or significant money or rights, contact a licensed attorney or a legal aid organization promptly.
3. How the AI works, and its limits
The Service uses artificial intelligence, currently models provided by OpenAI, to read the text you provide and produce explanations and drafts. We design it to stay grounded in your document and to avoid inventing facts or citations, but AI output can still be incomplete, out of date, misinterpreted, or wrong.
- Verify before you rely. Read the original document yourself and check anything that matters before acting on it.
- Case-law research. Case citations shown by the research feature are retrieved from CourtListener, a public database run by the Free Law Project, and link to the source records. We don’t write those citations, but they are selected by keyword search: a listed case may not be relevant to your situation, may not be binding where you are, and may have been overruled or limited. They are starting points for research, not conclusions about the law.
- Generated documents are drafts. Documents created with the Service (such as agreements or trusts) are starting drafts based on the answers you give. They may not suit your circumstances or satisfy the legal requirements of your jurisdiction. Have consequential documents, especially trusts and estate documents, reviewed by a licensed attorney before you sign or rely on them.
4. Eligibility and your account
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Give us an accurate email address and keep your password secure. You’re responsible for activity under your account. Tell us promptly at support@gptlegal.org if you think your account has been compromised.
- You may use the Service for yourself or for your organization. If you use it for an organization, you confirm you have authority to accept these Terms on its behalf.
5. Plans, billing, and cancellation
- Plans. We offer a Free plan with a limited number of document actions per month, and paid subscription plans (currently Pro and Trust & Estate) with the features and prices shown on our site at the time you subscribe. Features vary by plan; for example, trust drafting is available only on Trust & Estate.
- Payment. Paid plans are billed monthly in advance through our payment processor, Stripe. Charges appear from Smartledger Blockchain Solutions Inc. You authorize us, through Stripe, to charge your payment method each month until you cancel. Prices don’t include taxes unless stated; you’re responsible for any applicable taxes.
- Automatic renewal. Subscriptions renew automatically at the end of each monthly period unless you cancel before the renewal date.
- Cancellation. You can cancel anytime from Account → Manage billing. Cancellation takes effect at the end of your current billing period, and you keep paid features until then.
- Refunds. Payments are non-refundable, and we don’t provide refunds or credits for partial months or unused features, except where required by law. If you believe you were charged in error, contact us and we’ll review it.
- Plan changes. If you switch between paid plans, Stripe prorates the difference for the rest of the billing period.
- Price changes. We may change subscription prices. We’ll give you at least 30 days’ notice, by email or by a notice in your account, before a price change applies to your subscription, and you can cancel before it takes effect.
- Failed payments. If a payment fails and isn’t resolved, we may downgrade your account to the Free plan.
- Deleting your account cancels any subscription immediately and ends access to paid features right away, without a refund for the remainder of the period.
6. Fair use
Paid plans described as “unlimited” have no fixed monthly count of document actions, but they are for normal individual or business use, not automated or bulk processing. To keep the Service reliable and affordable, we apply fair-use limits to AI processing per account per day and per month, and an overall daily capacity limit for the Service. If you reach a limit, some features will pause until the limit resets; this doesn’t change your subscription or charges. We may adjust these limits and will apply them in good faith. If you need higher limits, contact us.
7. Your content
- You own your content. “Your content” means the documents, text, files, answers, and questions you submit, and the output the Service generates for you. As between you and us, you keep whatever rights you have in your content; we claim no ownership of it.
- Permission to process it. You give us a limited license to host, copy, process, transmit, and display your content only as needed to provide, secure, and support the Service. That includes sending it to the service providers described in our Privacy Policy, such as our AI provider. We don’t use your content to train AI models, and we don’t sell it.
- Your responsibility. You confirm you have the right to submit your content and that doing so doesn’t violate anyone else’s rights, a confidentiality obligation, or the law. Documents often contain other people’s personal information; only submit what you’re entitled to share, and leave out sensitive details (like Social Security or account numbers) that aren’t needed.
- Output. You may use the output the Service generates for you for any lawful purpose, subject to Sections 2 and 3. Similar requests from other users may produce similar output, and we don’t guarantee that any output is unique or free of third-party rights.
8. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent, or harmful, or to create documents intended to deceive or defraud others;
- present Service output to others as advice from a lawyer, or use the Service to provide legal services to others where doing so would be unauthorized practice of law;
- upload material you don’t have the right to share, or malware or other harmful code;
- get around usage limits, plan restrictions, or security measures; share an account to avoid plan limits; or access the Service through automated means (bots, scrapers, scripts) except through features we provide for that purpose;
- probe, overload, or disrupt the Service, or attempt to access other users’ data;
- copy, reverse engineer, or resell the Service, or use it to build a competing product.
9. Third-party services
The Service relies on third parties, including Stripe (payments), OpenAI (AI processing), CourtListener / Free Law Project (case-law records), and DigitalOcean (hosting). Links to third-party sites, such as court opinions on CourtListener, are provided for convenience. We aren’t responsible for third-party services or content, and your use of them may be subject to their own terms.
10. Our intellectual property
The Service, including its software, design, text, and the GPTLegal name and logo, belongs to Smartledger or its licensors and is protected by law. We give you a limited, personal, non-transferable right to use the Service under these Terms. We keep all rights not expressly granted. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Suspension and termination
You can stop using the Service and delete your account at any time from your account page. We may suspend or end your access if you materially breach these Terms, if required by law, or if your use creates risk or harm to the Service, us, or others. Where reasonable, we’ll give you notice and a chance to fix the problem first. If we end your access without cause, we’ll refund any prepaid fees for the unused part of your billing period. Sections that by their nature should survive termination (including 2, 3, 7, 10, 12, 13, 14, and 15) will survive.
12. Disclaimers
The Service and all output are provided “as is” and “as available.” To the fullest extent permitted by law, Smartledger disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that the Service will be uninterrupted, error-free, or secure. We don’t warrant that any output is accurate, complete, current, or suitable for your situation.
13. Limitation of liability
To the fullest extent permitted by law, Smartledger and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $100.
Some jurisdictions don’t allow certain warranty disclaimers or liability limits, so some of the above may not apply to you. Nothing in these Terms limits liability that can’t be limited under applicable law.
14. Indemnity
To the extent permitted by law, you’ll defend, indemnify, and hold harmless Smartledger and its officers, employees, and agents from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your misuse of the Service, or your violation of these Terms or the law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small-claims court where it qualifies. Before filing a claim, please contact us at support@gptlegal.org so we can try to resolve it informally. If you are a consumer, you may also have rights under the laws of the place where you live that can’t be waived by agreement.
16. Changes to these terms
We may update these Terms from time to time. We’ll post the updated Terms with a new effective date, and for material changes we’ll notify you before they take effect, by email or by a notice in your account or on the Service. If you keep using the Service after changes take effect, you accept the updated Terms; if you don’t agree, stop using the Service and delete your account.
17. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn’t a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We aren’t liable for delays or failures caused by events beyond our reasonable control.
